Terms of service

1. Accounts and authority

You must provide accurate account information, protect credentials, and have authority to upload project content. Organization administrators are responsible for membership, permissions, and use within their workspace.

2. Service and subscriptions

MemHub provides local-first and hosted project-memory tools. Features and quotas depend on the selected plan. Paid subscriptions renew until cancelled; applicable taxes and payment-provider terms may apply.

3. Cancellation and refunds

You may cancel renewal at any time through the billing portal. Access continues through the paid period and no cancellation penalty applies. Consumers may request cessation and a refund within 15 days after receiving a service where Ecuadorian consumer law applies and the nature of the service permits it. Outside that statutory right, Simplex.lat offers a 15-day first-purchase money-back guarantee. Duplicate charges, proven technical inability to access the paid service, and unauthorized payments are refundable after verification. Renewal charges are refundable when requested within 72 hours and no material paid-plan usage occurred after renewal. Refunds return to the original payment method through Dodo Payments; processing and bank posting times may vary. Usage-based charges, consumed credits, chargeback fees, taxes already remitted where non-recoverable, and periods substantially used are not refundable except where mandatory law requires otherwise. 4. Your content

You retain ownership of submitted content. You grant Simplex.lat only the limited rights needed to host, secure, synchronize, back up, and return it. You must have authority to upload it and should not store credentials or regulated data unless appropriate safeguards and an agreement are in place.

5. No secondary use

Simplex.lat will not sell, advertise against, publish, or use private project content to train general-purpose or third-party AI models. It processes that content only for customer-directed storage, synchronization, search, export, security, support, recovery, or a valid legal obligation.

6. Export, closure, and deletion

Organization administrators may export a structured copy of organization data at any time. Organization owners may request deletion through Data controls. Deletion is not automatic: Simplex.lat verifies authority and applicable billing, dispute, fraud-prevention, and legal-retention requirements. After approval, active organization content is permanently removed, while restricted records required by law and encrypted backups pending normal rotation may remain for the periods stated in the Privacy Policy.

7. Availability and changes

We work to maintain reliable service but do not guarantee uninterrupted availability. Preview features may change. Material changes will be communicated through the service or published with an updated effective date.

8. Warranties and liability

The service is provided on an “as available” basis to the maximum extent permitted by law. Nothing excludes mandatory consumer rights, liability for fraud, willful misconduct, or liability that cannot legally be limited. Otherwise, Simplex.lat’s aggregate liability for the service is limited to fees paid for the affected service during the preceding 12 months.

9. Governing law and disputes

These terms are governed by the laws of the Republic of Ecuador. The parties will first attempt good-faith resolution through info@simplex.lat. Without limiting mandatory consumer forums, disputes are subject to the competent courts of Quito, Ecuador.

10. Operator

MemHub is operated by Simplex.lat, legally domiciled in Quito, Ecuador. Notices, support requests, cancellations, and refund requests may be sent to info@simplex.lat.
